Business/Management Consulting

We help clients create, acquire, build and operate their businesses, we specialize with start-ups, micro and small businesses and for-profit and non-profit.

Our attorneys have a deep understanding of the complex legal issues associated with operating a business, we take a results based approach when consulting with clients in developing and implementing their business plans. We seek to address issues before they become problems in a cost-efficient manner.

  • Business Formation

    • We assist clients with buying and selling businesses; forming and operating S and C corporations, professional corporations, general/limited partnerships, and limited liability partnerships and companies.

    We also help with obtaining federal tax exempt status for charitable organizations, homeowners' associations, medical and other professional societies, and title holding companies

  • Commercial Transactions

    • We advise and represent clients on all types of commercial transactions, corporate reorganizations, and financing arrangements, as well as shareholder and member disputes. In addition, we negotiate and draft shareholder and member buy-sell agreements, partnership agreements, and joint venture agreements.

  • Employment

    • We consult with clients as they navigate employment laws and human resources issues. Our services included Independent Contractor Agreement to consulting on establishing company policies and procedures and drafting employee manuals.

  • Mergers & Acquisitions

    • Our attorneys provide clients with assistance and counsel on buying and selling assets, buying and selling businesses and planning, negotiation, drafting and closing stages of such transactions.
